MEMORANDUM OF UNDERSTANDING (MOU)
ONE Inland Empire (“OIE”) and Organizational Partner individually may be referred to as “PARTY” and/or collectively referred to as “PARTIES”.
I. PURPOSE
The Purpose of this Agreement is to define how OIE will collaborate with Organizational Partner to achieve agreed upon marketing and outreach objectives.
II. MUTUALLY AGREED UPON TERMS
The PARTIES mutually agree:
- This Agreement is effective as of the above date and shall remain in force for program period of three years (3) from that date, unless terminated by either PARTY for cause. The PARTIES may renew this Agreement upon signed mutual consent. Any extension of the term of years of this Agreement or amendments to the terms of this Agreement shall be in writing and signed by both PARTIES.
- PARTIES may terminate this Agreement, for cause, by giving the other PARTY thirty (30) days prior written notice. PARTIES agree that termination of this agreement will not affect programs set forth within this Agreement for the remainder of the current session of time at the termination date.
- The joint mission of the PARTIES is to promote their communities and knowledge share.
- The parties will engage in the following activities:
- Conduct region-wide outreach and provide awareness, resources, and opportunities via both PARTIES in order to create marketing pipelines for providing a sustainable future for small business owners and community members.
- Program shall be provided for agreed upon fees schedule for participants.
- An organizations committee may be created between participating stakeholders to collaborate on agreed upon programing.
III. PARTIES’ RESPONSIBILITIES
- PARTIES shall provide:
- A regular evaluation of stakeholder joint effort.
- Assist in promoting to business, civic, community leaders of programmatic opportunities classes and/or training that will strengthen their organizational objectives.
- Assist stakeholders with knowledge sharing, networking opportunities, and marketing with organizational partners.
- Business Development Support, such as offering training programs, marketing and promotional activities.
- A regular evaluation of joint efforts with stakeholders.
- Cross-promote each parties respective programs and events utilizing digital mediums including but not limited to; website, social media, email marketing and text messaging.
- Parties may provide the following:
- Procurement and Technical Assistance workshops for participating stakeholders.
- Access to capital, financing, marketing and risk management resources.
IV. OTHER PROVISIONS
- Indemnification. PARTIES shall defend, indemnify and hold each other, its officers, agents, employees, professors, regents, harmless from and against any and all liability, loss, expense, including reasonable attorney fees, or claims for injury or damages arising out of the performance of this agreement but only in proportion to and to the extent such damages are caused by or are the result from negligence and willful misconduct by its officers, agents, employees, professors, regents.
- Proprietary Information. PARTIES will respect all trademarked and copyrighted material currently held or previously held by each PARTY and not use the name, or likeness of either PARTY without express consent.
- Governing Law. This Agreement, in all respects, shall be interpreted, enforced and governed by and under the laws of the State of California. Jurisdiction and venue for all purposes shall be in the County of Riverside, State of California.
- Authority. The undersigned individuals hereby represent that they are authorized to execute this Agreement on behalf of their respective organizations, and each party represents that this Agreement constitutes a legal and binding obligation of the Parties.
- Notice. Notices shall be given in writing to:

Organizational Partners
(As Stated in Registration ) - Partial Invalidity. If any provisions of this Agreement are held by a Court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect without being impaired or invalidated in any way.
- Headings. Headings and captions in this Agreement are for convenient reference only, and shall not be used in the interpretation of this Agreement.
- Complete Agreement. The Agreement represents the Parties’ final and complete agreement, and this Agreement shall supersede all other understandings, discussion and/or agreements between the Parties with regard to the subject matter in the Agreement.
- Modification. The Agreement may not be amended, except in writing signed by the Parties hereto.
The registrant has read, understood and accept each and every part of the foregoing Agreement.
